Agreement to Terms

By engaging with TheBookingAgent-IG, operated by Chrysalis Consulting Services Inc. ("we," "our," or "us"), you agree to these Terms of Service. If you do not agree with these terms, please do not use our services.

Service Description

TheBookingAgent provides booking agency services through Instagram. We connect talent (musicians, performers, artists, etc.) with venues (bars, clubs, event spaces, etc.) to facilitate performance bookings. Our service includes communication management, booking coordination, and administrative support related to these engagements.

Fee Structure

For Talent

Talent users agree to pay a 10% commission on all payments received from bookings arranged through our service. This commission is due once the Talent has received payment from the Venue, and must be paid to @nickcamillo on Venmo within 7 days of receiving payment.

For Venues

Venue users may use our service at no direct cost. We do not charge venues a commission or fee for connecting them with talent.

Booking Process

1. Initiation: Either Talent or Venue contacts us via Instagram to express interest in our services.
2. Matching: We identify suitable matches based on location, availability, style, and other preferences.
3. Negotiation: We facilitate negotiations between parties, including date, time, duration, and compensation.
4. Confirmation: Once terms are agreed upon, we confirm the booking with both parties.
5. Follow-up: After the event, we verify completion and facilitate post-event feedback.
6. Payment: Venues pay Talent directly as agreed in the booking terms. Talent pays our commission after receiving payment.

User Responsibilities

All Users

By using our service, you agree to:

• Provide accurate and truthful information
• Communicate responsibly and professionally
• Respect the confidentiality of all booking arrangements
• Respond to communications in a timely manner
• Resolve any disputes in good faith

Talent-Specific Responsibilities

• Arrive punctually for all booked engagements
• Perform as agreed for the full duration
• Maintain professional conduct at all events
• Pay the agreed 10% commission after receiving payment
• Provide accurate information about your performance capabilities and requirements

Venue-Specific Responsibilities

• Provide accurate information about your venue and requirements
• Honor all agreed-upon booking terms
• Pay Talent as agreed in a timely manner
• Maintain a safe and appropriate environment for performances
• Communicate any changes to event details promptly

Cancellation Policy

Cancellations must be communicated to us as soon as possible. We encourage both parties to provide at least 7 days' notice for cancellations when possible.

• Talent Cancellations: If Talent cancels a confirmed booking without reasonable cause, they may be liable for damages as specified in individual booking agreements and may be required to pay a cancellation fee.
• Venue Cancellations: If a Venue cancels a confirmed booking, they may be required to pay a cancellation fee to Talent as specified in individual booking agreements.
• Force Majeure: Neither party shall be liable for failure to perform due to circumstances beyond reasonable control (e.g., natural disasters, government restrictions, illness with documentation).

Intellectual Property

Our branding, content, and service methodology are protected intellectual property. Users retain rights to their own content, but grant us limited rights to use their information for service provision and promotion.

Limitation of Liability

TheBookingAgent acts as an intermediary and is not liable for:

• Performance quality of Talent
• Venue conditions or amenities
• Payment disputes between Talent and Venues
• Personal or property damage related to bookings
• Consequential or indirect losses arising from using our service

Our liability is limited to the amount of commission received for the specific booking in question.

Dispute Resolution

In case of disputes, parties agree to first attempt resolution directly with TheBookingAgent. If unsuccessful, disputes will be resolved through arbitration in the state of New York under New York law.

Termination

We reserve the right to terminate access to our services for users who violate these terms, engage in fraudulent activity, or otherwise compromise the integrity of our service. Users may terminate their relationship with us at any time, though outstanding financial obligations remain enforceable.

Modifications to Terms

We may modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.

Governing Law

These terms are governed by the laws of the State of New York, without regard to its conflict of law principles.
